Terms of Service

Dataraq AI Technologies FZ-LLC provides AI consulting, AI agent development, local LLM and private AI deployment, AI automation solutions, AI security and governance, corporate AI training, AIOps, and managed AI services ("Services").

The specific scope, deliverables, timelines, pricing, and terms of any engagement are set out in a separate Statement of Work ("SOW") or service agreement signed between Dataraq.ai and the client. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail.

You agree not to:

• Use our website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any systems, accounts, or data
• Transmit any malicious code, viruses, or harmful software
• Scrape, copy, or reproduce our website content without prior written permission
• Use automated tools to access or interact with our website in a manner that imposes unreasonable load

All content on the Dataraq.ai website — including text, graphics, logos, design, and code — is the property of Dataraq AI Technologies FZ-LLC and is protected by applicable intellectual property laws.

For client engagements, intellectual property ownership is defined in the relevant SOW. Unless otherwise agreed in writing:

• Custom AI systems, agents, and code developed specifically for a client are owned by the client upon full payment
• Dataraq.ai retains ownership of its internal methodologies, frameworks, templates, and pre-built tooling
• Dataraq.ai retains the right to reference the general nature of an engagement for business development purposes, subject to any confidentiality agreement

Fees for services are agreed prior to commencement of any engagement and are set out in the relevant SOW or proposal. Standard payment terms:

• Invoices are payable within 14 days of issue unless otherwise agreed
• A deposit (typically 50%) may be required before project commencement
• Late payments may attract a monthly interest charge as permitted by UAE law
• All fees are exclusive of applicable UAE VAT unless stated otherwise

To enable successful delivery, the client agrees to:

• Provide timely access to systems, data, personnel, and information reasonably required for the engagement
• Ensure that data shared with Dataraq.ai is lawfully held and that sharing it does not violate any applicable laws or third-party rights
• Designate a project point of contact with appropriate authority to make decisions
• Review and provide feedback on deliverables within agreed timelines
• Ensure AI systems built are used in a lawful and responsible manner after deployment

Given the nature of AI technology, the following specific terms apply:

• AI systems may produce outputs that are probabilistic in nature. We do not warrant that AI outputs will be error-free, complete, or appropriate for all use cases
• Clients are responsible for validating AI outputs in any high-stakes decision-making context
• We recommend that clients maintain human oversight for AI-assisted decisions in regulated industries
• Third-party AI model providers (such as Anthropic, OpenAI, or Google) have their own terms of service that apply to their model APIs — we are not liable for changes to those terms
• Local LLM and private AI deployments are the client's responsibility to maintain, update, and secure after project handover

To the maximum extent permitted by applicable law, Dataraq AI Technologies FZ-LLC shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from the use of, or inability to use, AI systems or outputs
• Third-party claims arising from the client's use of AI systems we delivered

Our total aggregate liability for any claim arising from a service engagement shall not exceed the total fees paid by the client in the three months preceding the claim.
